Purpose

Scope

Explicit Exclusions
- No consulting services.
- No coaching, advisory services, or individualized guidance.
- No operational responsibility, implementation ownership, or execution support.
- No calls, workshops, “strategy sessions,” or availability guarantees.
Term
Minimum term: 6 months. Preferred term: 12 months. Renewal is discretionary and contingent on scope integrity.
Fee
USD 3,000–5,000 per month. Payable quarterly or annually. Pricing reflects reference access and institutional usage rights, not time-based services.
Positioning Clause
This retainer constitutes a reference access arrangement, not a professional services engagement. The institution remains solely responsible for interpretation, decision-making, and application.
